Sajjan Jindal Family Trust, a big shot at JSW Infrastructure, decided to sell off a 2% stake in the company for a whopping ₹1,210 crore in order to meet Sebi’s public shareholding norms. The trust, led by Sajjan Jindal and Sangita Jindal, made this move through an open market transaction. This sale of 4.2 crore shares brought down their holding in JSW Infra from 80.72% to 78.72%, while the overall promoter and promoter group entities’ stake in the company decreased from 85.62% to 83.62%.
What’s more, the Singapore government also jumped on the bandwagon by acquiring an additional 0.9% stake in JSW Infrastructure for ₹531 crore. The stock was bought at an average price of ₹288.10 per share. Unfortunately, details about other buyers of JSW Infrastructure shares remain a mystery. Following this development, the share price of JSW Infrastructure took a hit, dropping by 2.93% to close at ₹288.35 per share on the NSE.
In a rather interesting turn of events, the Sajjan Jindal Family Trust announced its intention to sell up to 2% of the total paid-up equity share capital of the company. This amounts to 4.2 crore equity shares to be sold in one or more tranches from May 13, 2025, onwards till March 31, 2026. The trust aims to comply with the minimum public shareholding requirements set by Sebi through this strategic move. JSW Infrastructure, a part of the JSW Group led by Sajjan Jindal, is the second-largest private commercial port operator in India with a capacity of 177 million tonnes per annum. The company made its stock market debut on October 3, 2023, and has seen an impressive 18% increase in its share price over the past year.
Not really sure why this matters, but Sebi mandates that all listed companies maintain a minimum public shareholding of 25% within a certain timeframe post their listing. Typically, newly listed firms are given a three-year window to meet this requirement. The recent developments at JSW Infrastructure highlight the importance of adhering to these regulations in the Indian market.
